From your project to registration

You open a capital deposit account with a bank and pay in the share capital. We then coordinate the incorporation formalities with the notary.
The file is submitted to the Geneva Commercial Register. After registration, you can request the release of the capital and organise your business launch.
How long should you allow? Generally 2–4 weeks for a complete standard file, depending on the bank, signatures and register processing. We discuss your timetable before starting.

The CHF 20,000 share capital is not a fee. After registration and release by the bank, the funds belong to your company and can finance its business expenses.

Before you start
Swiss incorporation rules apply. Choosing Geneva requires, in particular, a registered office address in the canton and registration with its cantonal register.
The minimum capital of CHF 20,000 must be paid in full on incorporation. For a cash incorporation, it is deposited in a capital deposit account.

The LLC must be able to be represented by a managing officer or director domiciled in Switzerland with the necessary signing authority.
The company name must be distinguishable from companies already registered and include “Sàrl”. The articles of association of your LLC specify, in particular, the registered office, purpose and capital.

The Standard package costs CHF 490 excluding VAT and the Premium package CHF 590 excluding VAT, with notary fees included. Commercial Register charges, bank fees for the capital deposit account and any specific additional services must be budgeted separately. The minimum CHF 20,000 share capital is a contribution to your company, not an incorporation fee.
Generally allow 2–4 weeks for a complete standard file. The timetable depends in particular on bank checks, payment of capital, signatures and Commercial Register processing. We clarify the next steps with you; the registration date cannot be guaranteed in advance.
Yes. Forming an LLC requires a public deed. Karpeo prepares the file and coordinates formalities with the partner notary. Signing arrangements and any powers of attorney depend on your situation. Notary fees for standard incorporation are included in our packages.
Yes. One person can form an LLC and hold all its membership interests. The minimum capital remains CHF 20,000, fully paid in. The company must be able to be represented by a managing officer or director domiciled in Switzerland with the necessary signing authority.
After Commercial Register registration and release by the bank, the capital can finance company expenses such as equipment, rent and other business costs. It belongs to the LLC. It is not money you can simply take back for personal spending.
Yes, you can hold interests in a Swiss LLC while living abroad. The company needs a registered office address in Geneva and representation that meets Swiss requirements. Your right to work there, any permits and your tax and social insurance situation must be examined separately.
Your LLC needs a valid registered office address in the canton to register in Geneva. Depending on your situation, this may be your premises or an authorised registered office arrangement. The registered office must reflect the reality of the project; an address alone does not resolve tax or permit questions.
In principle, the company is liable for its debts with its own assets. This separation does not rule out a managing officer’s personal liability for breaches of duty, or personal commitments such as a bank guarantee.
