From your business plans to amended articles
1. Describe your activities
Provide the registered company name, Swiss business identification number (UID, known as IDE in French), and the activities to add, retain or remove. You can suggest wording or simply describe your plans.
2. Approve the new purpose
We prepare wording for your review and the necessary documents. The company resolution and notarised deed are organised with the notary under the applicable rules.
3. Follow the registration
The documents are submitted to the Commercial Register for review. The timetable depends on signatures, the file and processing by the authorities.
A suitable business purpose does not replace required permits
For a regulated activity, check professional or sector-specific authorisations before you start. Amending the articles of association does not remove these requirements.
Also prepare any necessary updates with your insurers, bank and business partners. If the activity changes substantially, have the accounting and tax consequences assessed.

Changing your business purpose: your questions
Do I need to change the purpose for every new service?
First review the current purpose: its wording may already cover the new service. If the text needs to change, the SA or Sàrl’s articles of association must be amended.
Is a notary required?
Yes. For an SA or Sàrl, a change to the purpose in the articles of association must be recorded in a notarised deed and then entered in the Commercial Register.
How much does the change cost?
The package costs CHF 490 excluding VAT, including notary fees. Commercial Register fees are charged in addition.
Do I need to draft the new purpose myself?
No. Describe the activities you want to carry out, retain or stop. We help prepare wording for you to review before approval.
How long does it take?
The timing depends on preparing the file, obtaining the necessary decisions and signatures, and processing by the notary and Commercial Register. This is clarified when we discuss your enquiry.
Can I also change the name or registered office?
